The principles we uphold
Founding leadership
Strategic oversight
The Constitution provides for a Board of Trustees of not less than five (5) and not more than nine (9) members. Founding Members serve as Founding Trustees, while remaining Trustees are appointed under the stated constitutional provisions.
The document also establishes a staggered tenure system intended to support institutional continuity, with subsequent Trustee appointments generally set at fixed terms and renewable once, subject to the constitutional provisions.
Executive leadership
The Office of the Executive Director serves as the chief executive and administrative head of the Organization. The Executive Director reports directly to the Board of Trustees and is responsible for the day-to-day affairs and operations of RADASI.
Decision-making framework
The Board may meet for the dispatch of business and regulate its meetings in accordance with the Constitution. The stated quorum for Board business is not less than half the number of members of the Board for the time being.
The BOT Annual Meeting is established as the highest decision-making body of the Organization, with annual activity, financial, governance, strategic and other organizational matters presented for review and deliberation.
Responsible stewardship
The Constitution requires proper books of account, records of assets and liabilities, grants and project funds, and financial commitments. It also provides for secure custody of records, annual financial reporting and review by the Board.
Changing the framework
The Constitution may be amended, modified, repealed or replaced by special resolution at a duly convened BOT Annual Meeting requiring not less than a two-thirds majority of members present and entitled to vote, subject to applicable laws and the stated non-profit objectives.
Protection of organizational assets
Dissolution requires a special resolution and the conditions specified by the Constitution and applicable law. Following settlement of debts and liabilities, remaining assets are not to be distributed to members, trustees, officers or individuals, but transferred to non-profit organizations with similar objectives in compliance with Nigerian law.
